Terms of Service
Effective: July 15, 2026
1. Acceptance
By accessing or using any Prime 88 public surface, workspace, API, or operations infrastructure ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. Definitions
"Public Surface" means any page on prime88.studio accessible without authentication. "Workspace" means the authenticated environment at crm.prime88.studio where tenant-specific operations occur. "Tenant" means an entity that has executed a separate Master Services Agreement or Statement of Work with Prime 88. "Content" means all text, data, information, software, graphics, and materials made available through the Service.
3. Eligibility
You must be at least 18 years old to use the Service. By accepting these Terms, you represent that you have the legal authority to bind yourself or the entity you represent.
4. Accounts and Authentication
Access to the Workspace requires an authenticated account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify Prime 88 immediately of any unauthorized access. Prime 88 reserves the right to suspend or terminate accounts for security violations or breach of these Terms.
5. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any system, data, or workspace; (c) interfere with the integrity or performance of the infrastructure; (d) scrape, crawl, or harvest data from Public Surfaces beyond reasonable request volume; (e) use the Service to transmit malware or engage in phishing, fraud, or abuse.
6. Intellectual Property
The Service, including its design, layout, wordmark, typography, and underlying systems, is the proprietary property of Prime 88. Nothing in these Terms grants you a license to reproduce, modify, distribute, or create derivative works of Prime 88's intellectual property without explicit written permission.
7. Tenant Content
You retain all rights to content you submit to your Workspace. Prime 88 claims no ownership over tenant data. You grant Prime 88 a limited license to process, store, and transmit your content solely to provide the Service. Prime 88 will not access tenant workspaces or data except as necessary to maintain the Service or as required by law.
8. Service Availability
Prime 88 aims for high availability but does not guarantee uninterrupted or error-free operation. Planned maintenance will be communicated via system-status pages. Prime 88 is not liable for downtime caused by factors outside its reasonable control, including internet outages, force majeure, or third-party provider failures.
9. Fees and Payment
Paid services are governed by a separate agreement. Fees are non-refundable except as expressly stated in that agreement. Prime 88 may change pricing with notice to affected tenants.
10. Termination
Prime 88 may suspend or terminate access to the Service at any time for violation of these Terms. Tenants may terminate their workspace in accordance with their separate agreement. Upon termination, your right to access the Service ceases immediately.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Prime 88 does not warrant that the Service will meet your requirements or be secure, error-free, or uninterrupted.
12. Limitation of Liability
To the maximum extent permitted by law, Prime 88 shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility of such damages. Prime 88's total liability for any claim arising from these Terms or the Service shall not exceed the greater of USD 100 or the amount paid by you in the preceding 12 months.
13. Indemnification
You agree to indemnify and hold Prime 88 harmless from any claims, losses, liabilities, and expenses arising from your violation of these Terms or your misuse of the Service.
14. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in New York County, New York.
15. Changes to Terms
Prime 88 may update these Terms from time to time. Material changes will be posted to this URL at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
